Welcome to Cloud Sprout Web Hosting! These Terms of Service (“Terms”) govern your use of our reseller website and hosting services. By accessing or using our services, you agree to be bound by these Terms. Please read them carefully before proceeding.

1. Agreement to Terms

By accessing or using Cloud Sprout Web Hosting’s services, you agree to abide by these Terms of Service. If you do not agree with any part of these Terms, you may not access or use our services.

2. Description of Services

Cloud Sprout Web Hosting provides website hosting reseller services, allowing individuals and businesses to host their websites on our servers. We offer various hosting plans and packages tailored to meet the needs of our customers.

3. Account Registration

To use our services, you are required to create an account with Cloud Sprout Web Hosting. You agree to provide accurate and complete information when registering for an account and to update your information promptly if there are any changes.

We provide instant account activation for our shared and reseller web hosting plans. VPS servers are activated within 2 hours in most cases however at times we may need up to 24 hours to activate the service. If you require a custom setup, we may need more time to deliver it from our vendor. Any account may take more time to be activated if it fails the initial verification. In that case, we will contact you with details and steps to complete the verification process.

4. Acceptable Use Policy

You agree to use our services in compliance with all applicable laws and regulations. You may not use our services for any unlawful or prohibited purpose, including but not limited to:

Transmitting any content that is unlawful, harmful, or infringes upon the rights of others.
Engaging in any activity that could disrupt or interfere with the proper functioning of our services or servers.
Attempting to gain unauthorized access to any part of our system or network.

Cloud Sprout Web Hosting prohibits the following content on our servers and network:

Anything related to IRC
Proxy Scripts
Running chat services or chat related web sites on the shared hosting plans
Anything related to torrents
Starting background processes on shared servers
Warez, hacking tools, exploits, bots
Any type of mining for cryptocurrencies
Game servers
Download and streaming oriented web sites
Sites promoting illegal activities
IP Scanners
Hacker focused sites

Any account found to be in violation of another person’s copyright will be expeditiously removed, or access to the material disabled. Any account found to be in repeated violation of copyright laws will be suspended and/or terminated from our hosting.

5. Security and Backups

Customer is responsible to keep their accounts up to date and secure at all times. Directories must be chmod to 711 and configuration files with passwords must be chmod to 600. Scripts, plugins, modules need to be kept up to date at all times. A strong password must be used.

Cloud Sprout Web Hosting keeps backup of all files and databases. Cloud Sprout Web Hosting keeps daily and weekly backups for shared hosting plans and VPS servers. Customer agrees to use Cloud Sprout Web Hosting backups on their own risk. Cloud Sprout Web Hosting doesn’t guarantee the existence of backups at all times and recommends the Customer to store their own backups at all times.

6. Resource Usage

Any account on the server cannot use more than the maximum CPU or memory resources listed on the service plan. If you use too much system resources, you will be notified to take the necessary actions. If the usage is too high to keep the server stable, we will suspend the overloading account so that it doesn’t affect the other clients on the server.

Customer agrees not to use the shared hosting service to send bulk e-mail. Mailing lists are allowed, and the customer can send e-mail messages as per our hourly mail limits however those messages cannot be sent 24/7. If you need to send more than 5000 emails per month, the shared hosting service will not be sufficient. A VPS or dedicated server will be required for that.

7. Payment and Billing

Payment for Cloud Sprout Web Hosting services is due on a recurring basis, as outlined in your chosen hosting plan. You agree to provide accurate and up-to-date payment information and authorize us to charge your chosen payment method for the applicable fees.

You agree to pay for the Services on time and in advance for the billing cycle Services are provided for. Invoices are generated 14 days before the renew date of the Services. Cloud Sprout Web Hosting provides 7 days grace period after the renew date. If the invoice is not paid within the 7 days grace period Cloud Sprout Web Hosting will temporarily suspend services until the invoice is paid in full. Cloud Sprout Web Hosting will terminate Services not paid in full 15 days after the Services have been suspended. Backups will be removed as well.

Cloud Sprout Web Hosting accepts payments via credit card or PayPal. Payments from unverified PayPal accounts are not accepted.

8. Refund Policy

Cloud Sprout Web Hosting offers a satisfaction guarantee. If you are not satisfied with our services within the first 30 days of signing up, you may cancel your services and request a refund of your prepaid hosting fees, subject to certain conditions.

Invoices that have been paid more than once because of multiple PayPal subscriptions or multiple manual payments, cannot be refunded. They overpaid amount will be added as credit to your account which can be used to pay for future invoices.

If your payment is refunded due to a chargeback you will need to pay the refunded amount plus a one-time $20 chargeback fee.

9. Limitation of Liability

Cloud Sprout Web Hosting shall not be liable for any damages, whether direct, indirect, incidental, or consequential, arising out of or in connection with the use of our services. This includes but is not limited to loss of data, loss of revenue, or any other economic loss.

10. Termination and Suspension

Cloud Sprout Web Hosting reserves the right to terminate or suspend your account at any time for any reason, including but not limited to violation of these Terms of Service or failure to pay applicable fees. Upon termination, you will no longer have access to our services.

11. Domain Names and Redemption Period

We provide a free domain name with our shared web hosting plans. The domain name extensions that are eligible to be used are com/net/org/info/us. The domain name will be provided for free for as long as the web hosting service is kept active with us. You need to pay for minimum 3 months to get the free domain. If you use the 30-day money back guarantee you will have to pay for the domain name at its normal price.

Domain names enter redemption period 30 days after the expiration date. The cost to recover and renew a domain name which is in redemption is determined by Enom and varies (typically between $49 – $300 for redemption). Grace and redemption fees are compounded, so if a domain expires and does not renew during the grace period, the total amount due will be the regular renewal price plus any grace period fee plus any redemption grace period fee. Please keep your payment and account information up to date to prevent redemption fees due to failed payments or missed notification emails.

12. Service Cancellations

Cancellation requests need to be placed via the client dashboard by clicking on My services, then on Manage and then on the Request cancellation button. Cancellation requests sent via e-mail will not be considered legitimate and you will still be billed for the Services until a legitimate cancellation request is placed. Cancellation requests may take up to 7 days to be completed.

13. Uptime Guarantee

If your server had downtime, we will issue a refund as noted below.

99.9% – 0% credit
99.8% – 10% credit
99.7% – 20% credit
99.6% – 30% credit
99.5% – 40% credit
99.4% – 50% credit
99.3% – 60% credit
99.2% – 70% credit
99.1% – 80% credit
99.0% – 90% credit
Less than 99% – 100% credit

Please note that scheduled downtime is not counted as ‘real downtime’ and you will not get a refund for it. In order to get a refund, you will need to open a ticket with our billing department and claim the downtime by including logs and other details you feel relevant. The credit will be applied to your account within 7 days after your claim is approved.

14. Modifications to Terms

Cloud Sprout Web Hosting reserves the right to update or modify these Terms of Service at any time without prior notice. Any changes will be effective immediately upon posting to our website. It is your responsibility to review these Terms periodically for updates.

15. Contact Information

Customer agrees to keep his contact information and e-mail on file up to date at all times. We will use the e-mail on file to send notifications about generated invoices, due invoices, Services suspension, Services termination, new Services provisioned and any other related information. Cloud Sprout Web Hosting recommends using an external e-mail address so that the Customer can receive messages in case there are problems with the Services.
